# Agreements

> The buyer and seller marketplace agreements, when you need each, and how to sign and download them from Documents.

Your company uses GPU Outlet under a marketplace agreement. There is one for buying and one for selling. You sign them inside the dashboard, and the company is the party that signs.

## The two agreements

| Agreement | What it covers | When you need it |
| - | - | - |
| **Buyer marketplace agreement** | The terms your company sources capacity under. | Listed for every company. You can send requests before signing it. |
| **Seller marketplace agreement** | The terms your company offers capacity under, including the 1% success fee on deals that come out of an introduction. | You must have signed the current version before you can accept an opportunity. |

There is a third company-level document, the **Auction rules**, which covers bidding. It is not listed on **Documents**, because it is asked for at the moment a company first bids rather than at onboarding. A lot also carries terms of its own, which each bidder accepts on the lot itself — those are not company documents and are not signed here. See [Bidding](/buying/bidding).

In messages, the seller agreement is called the Seller Marketplace & Success Fee Agreement. If it is missing when you try to accept an opportunity, you see "Sign the Seller Marketplace & Success Fee Agreement." See [Opportunities](/selling/opportunities).

## Where to find them

Open **Documents** (`/app/documents`). Both agreements are listed on the **Buy** and **Sell** menus. You can sign either from either menu.

While the buyer agreement is unsigned, a **Radar** listing page shows the notice "Your company has not signed the buyer marketplace agreement yet." with a **Sign it** link. The notice does not stop you from sending a request.

Each row shows a status chip:

| Status | Meaning |
| - | - |
| **Signed** | Your company signed the current major version. The row shows the version and date. |
| **Awaiting signature** | A signing request was started and is waiting for the signature. |
| **Needs signing** | Your company needs to sign this document, or sign it again after a new major version. |
| **Declined** | Signing was declined on the signing page. |
| **Expired** | The signing request expired. |
| **Being prepared** | The document is being prepared for signing. |
| **Not signed yet** | Your company does not have to sign this document yet, but can. |

When nothing is owed, the page reads "Nothing outstanding."

## Who can sign

Only an owner or an authorized signatory can sign, and signing asks for your second factor. It is one of only two actions that do. See [Two-factor authentication](/account/two-factor).

The agreement is made out to one person: the owner or authorized signatory who joined your company first. Their details are printed on the document. See [Who signs for the company](/account/team-and-roles#who-signs-for-the-company).

## Signer details

Before a signing session can open, these details must be on file:

* First name
* Last name
* Position
* Registered legal name
* Registered address

While any are missing, **Documents** shows a **Signer details** card. Each missing item is marked **Missing** with a **Fill in** link:

* **Position** takes you to the **Team members** tab of `/app/company`.
* **Registered legal name** and **Registered address** take you to **Company Details**.
* **First name** and **Last name** belong to the signatory. If that is you, you can fill them in on the card.

The card disappears once everything is filled in.

  On a verified company, the registered address can be set once and then cannot change. Check it before you save. See [Company](/account/company#after-verification).

## Sign an agreement

    Go to `/app/documents` and find the agreement's row.

  <Step title="Press Sign">
    Press **Sign**. If your second factor is due, confirm it first. Signing then continues by itself.
  </Step>

  <Step title="Review the document">
    A dialog opens with our signing page at sign.gpuoutlet.ai inside it. The dialog reads "Signed here, on this page." You are not sent to another site.
  </Step>

  <Step title="Sign">
    The signer's name, position, the company's legal name, registered address and the agreement version are already filled in. These fields are read-only. Add your signature and finish.
  </Step>

The status changes to **Signed** shortly after you finish. The **Documents** page updates by itself, so you do not need to reload it.

If a detail on the document is wrong, close the dialog without signing. Correct it where it is set, then press **Sign** again.

### Declining

You can decline the document on the signing page. The row then shows **Declined**, and the agreement still needs signing. Press **Sign** again when you are ready.

## Versions

Agreements have versions in the form `major.minor`.

* A **minor** revision does not ask you to sign again. Your existing signature still counts.
* A **major** version makes your existing signature outstanding again. The row returns to **Needs signing**.

If a new major version of the seller agreement is published, you must sign it before you can accept another opportunity. The message reads "The seller agreement has a new version. Sign the current one."

Introductions you already accepted keep the agreement version that was current when you accepted them.

## Download a signed copy

The row shows **Download** once the signed copy is stored, shortly after signing.

Downloading does not ask for your second factor. Only an owner or an authorized signatory can download it.
